Terms of Service

Terms and conditions of use

These Terms govern your access to and use of the Patterned platform. By using the Service, you agree to these Terms.

Draft pending legal review

These Terms of Service are a working draft written to be reviewed and finalized by qualified legal counsel before being relied upon. If you have a separate written agreement, master services agreement, or order form with Patterned, Inc., that agreement controls in the event of conflict.

Section 01

Acceptance

By creating an account, accepting an invitation, or otherwise using the Patterned platform (the "Service"), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

Section 02

Definitions

  • "Patterned," "we," "us," or "our" means Patterned, Inc., a Delaware corporation.
  • "Service" means the Patterned platform, including all websites, applications, APIs, and edge functions we operate.
  • "CBO" means a community-based organization or case-management entity using the Service to manage candidates.
  • "Employer" means a company or hiring entity using the Service to search, screen, and interview candidates.
  • "Candidate" means an individual whose information is processed by the Service in connection with workforce placement.
  • "Customer" means a CBO or Employer that has agreed to these Terms or to a separate agreement with Patterned.
  • "Customer Data" means any data, content, or information uploaded, generated, or transmitted by or on behalf of a Customer or its Candidates through the Service.
Section 03

Account roles and responsibilities

The Service is multi-tenant and role-based. Your obligations depend on your role:

  • CBOs are responsible for the lawful collection of candidate data they upload, including obtaining any consents required by law before sharing data with employers.
  • Employers are responsible for their own EEO, AEDT, and hiring-law compliance, including any candidate-facing notices and bias-audit publications required of them as employers.
  • Candidates are responsible for the accuracy of the information they provide.
  • All users are responsible for keeping their credentials secure and for activity that occurs under their account.

Acceptable use

You agree not to:

  • Use the Service to violate any law, including federal, state, or local employment, anti-discrimination, or data-protection laws
  • Submit, configure, or solicit interview questions that are unlawful under EEO, ADA, or similar laws (our platform actively rejects non-compliant questions, and attempting to circumvent that protection is prohibited)
  • Resell, sublicense, or redistribute Candidate data outside the lawful purposes of your placement or hiring program
  • Scrape, crawl, or use automated means to extract data from the Service other than through APIs we publish
  • Reverse engineer, decompile, or attempt to derive the source of the Service
  • Interfere with the integrity, performance, or security of the Service
  • Use the Service to harass, deceive, or harm Candidates or other users
Section 05

AI and automated decision-making

The Service uses artificial intelligence and automated tools to assist with screening, matching, scoring, and assessment.

  • Patterned provides bias-monitoring tooling, evidence-grounded scoring, and audit logs to support employers' compliance with EEO and AEDT laws.
  • Patterned does not make final hiring decisions and does not warrant the suitability of any Candidate for any role.
  • Employers acknowledge that they are responsible for their own compliance with NYC Local Law 144 and other AEDT laws applicable to them, including candidate-facing notice and the publication of any required bias audits.
  • Customers will not represent to Candidates or third parties that Patterned guarantees outcomes, fairness, or freedom from bias.

Use of AI features is also governed by the Privacy Policy.

Section 06

Data ownership and license

As between Patterned and our Customers, Customers retain all right, title, and interest in Customer Data they provide.

Customers grant Patterned a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to operate and improve the Service, produce outcome reporting for the Customer, and comply with law.

Section 07

Fees

Fees and billing terms are described in your order form, pilot agreement, or other written agreement between you and Patterned.

Unless otherwise agreed in writing, fees are non-refundable and exclusive of taxes. To request pricing, contact us at the address at the bottom of this page.

Section 08

Confidentiality

Each party will protect the other party's non-public information with the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Confidentiality obligations do not extend to information that is or becomes public, is independently developed, or is required to be disclosed by law.

Section 09

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, PATTERNED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL PRODUCE A SPECIFIC HIRING, RETENTION, OR PLACEMENT OUTCOME.

Section 10

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PATTERNED BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA. PATTERNED'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Section 11

Indemnification

You agree to defend, indemnify, and hold Patterned harmless from any claim, demand, or expense, including reasonable attorneys' fees, arising out of your or your users' violation of these Terms, your misuse of the Service, or your violation of any applicable law or third-party right, including the rights of Candidates.

Section 12

Termination

You may stop using the Service at any time. We may suspend or terminate access for any user who materially violates these Terms or who creates risk or potential legal exposure for the Service. Upon termination, accrued fees remain payable and the Customer Data export and deletion process described in the Privacy Policy applies.

Section 13

Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in New York County, New York, and the parties consent to personal jurisdiction there.

Section 14

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date and, where appropriate, by notifying Customers. Continued use of the Service after changes take effect constitutes acceptance.
